Media/Publicity Release & Talent Agreement

1. Parties

This Media/Publicity Release & Talent Agreement (“Agreement”) is entered into between BONJIL, LLC (“BONJIL”) and the undersigned participant (“Participant”) in connection with the BONJIL Muse Search, including the Archives of New York campaign.

2. Purpose

The BONJIL Muse Search celebrates the everyday rituals that help people pause, reset, and reconnect with themselves.

As part of the campaign, BONJIL may invite selected participants to share more of their stories and participate in photography, video, audio, interviews, editorial content, events, and other campaign-related activities.

This Agreement establishes the permissions necessary for BONJIL to capture and use those materials in connection with the campaign and BONJIL’s related brand, editorial, marketing, advertising, public relations, and promotional activities.

3. Participant Materials

Participant may voluntarily provide BONJIL with materials including:

  • Written stories and personal reflections
  • Typed or handwritten Notes
  • Photographs
  • Videos
  • Audio recordings
  • Interviews
  • Personal rituals and experiences
  • Biographical information
  • Other materials provided in connection with the campaign

Collectively, these materials are referred to as the “Participant Materials.”

4. Photography, Video, Audio & Interviews

Participant agrees that BONJIL and its authorized photographers, videographers, agencies, production partners, representatives, and service providers may photograph, film, interview, and/or record Participant in connection with the BONJIL Muse Search.

These materials may include Participant’s:

  • Name
  • Image
  • Likeness
  • Voice
  • Appearance
  • Portrait
  • Interview
  • Personal story
  • Rituals
  • Statements and quotations
  • Handwriting
  • Submitted Notes
  • Photographs and video
  • Biographical information

Collectively, these materials are referred to as the “Campaign Materials.”

5. Permission to Use Name, Image, Likeness, Voice & Story

Participant grants BONJIL permission to use the Campaign Materials in connection with the BONJIL Muse Search, Archives of New York, and BONJIL’s related brand, editorial, advertising, marketing, promotional, social media, public relations, and communications activities.

Such use may include, subject to legal review:

  • BONJIL websites and landing pages
  • Social media
  • Digital advertising
  • Print advertising
  • Digital billboards and out-of-home advertising
  • Wheat-paste and other public installations
  • Retail and flagship store displays
  • Editorial campaigns
  • Photography and film
  • Public relations and media outreach
  • Press materials
  • Events and experiential activations
  • Email and digital communications
  • Printed collateral
  • Campaign recaps and case studies
  • Archives of New York editorial and archival materials
  • Other BONJIL-owned or authorized promotional channels

6. Archives of New York

Participant understands that selected stories, Notes, photographs, quotations, handwriting, and other Campaign Materials may become part of the Archives of New York campaign.

BONJIL may preserve selected Campaign Materials as part of its documentation of the campaign and may feature those materials in future editorial or archival presentations relating to Archives of New York.

Any rights relating to future commercial products or publications beyond the scope of this Agreement will be subject to the rights granted herein and any additional agreement required by BONJIL or applicable law.

7. Future Editorial or Printed Archive

BONJIL may explore future editorial projects inspired by the BONJIL Muse Search and Archives of New York, including a potential printed archive, editorial publication, exhibition, or coffee-table book.

Participant:

☐ Consents to BONJIL using approved Campaign Materials in future Archives of New York editorial or archival publications, subject to the terms of this Agreement.

☐ Requests that BONJIL obtain additional written permission before including Participant’s Campaign Materials in a separately sold commercial publication.

Final consent structure to be confirmed by BONJIL Legal Counsel.

8. Editing & Creative Treatment

Participant understands that Campaign Materials may be edited, cropped, formatted, resized, excerpted, captioned, combined with other materials, or otherwise adapted for creative, editorial, technical, or production purposes.

BONJIL will not knowingly materially alter Participant’s personal story or statements in a manner intended to falsely represent the Participant.

Participant acknowledges that final creative, editorial, and production decisions will be made by BONJIL and its authorized partners.

9. Campaign Participation

Selected participants may be invited to participate in campaign-related activities including:

  • Photography or video shoots
  • Interviews
  • Editorial storytelling
  • BONJIL flagship experiences
  • Public or private campaign events
  • Press or media opportunities
  • Social media content
  • Muse-related appearances or activations

Specific participation requirements, dates, locations, and expectations will be communicated separately where applicable.

10. No Guarantee of Publication or Selection

Participant understands that participation in photography, interviews, filming, or other campaign activities does not guarantee:

  • Publication of Participant’s materials
  • Inclusion in advertising or editorial content
  • Selection as a finalist
  • Selection as the BONJIL Muse
  • Any specific amount or type of media exposure

BONJIL retains final discretion regarding which Campaign Materials are published or used.

11. Compensation

Except for prizes, awards, experiences, or other benefits expressly provided under the BONJIL Muse Search Official Rules or separately agreed to in writing, Participant acknowledges that no additional compensation is guaranteed solely as a result of BONJIL’s authorized use of Campaign Materials.

The selected BONJIL Muse will receive the prize package described in the applicable Official Rules, subject to eligibility verification, required documentation, and applicable terms.

12. Participant Representations

Participant represents that:

  • Information and personal materials provided to BONJIL are truthful to the best of Participant’s knowledge.
  • Participant has the right to provide any materials personally submitted to BONJIL.
  • Participant will not knowingly provide materials that infringe upon another person’s intellectual property, privacy, publicity, or other rights.
  • Where Participant supplies third-party photographs, videos, artwork, music, or other protected materials, Participant has obtained any permissions required for such submission and authorized use.

BONJIL may reject or remove materials that it reasonably believes create third-party rights concerns.

13. Third-Party Content

Participant should not provide copyrighted music, photographs of third parties, artwork, trademarks, or other third-party materials unless Participant has the appropriate rights or permissions.

BONJIL reserves the right to edit, reject, replace, or refrain from using materials that may create intellectual property, privacy, or publicity concerns.

Additional representations, warranties, and indemnification provisions may be added by BONJIL Legal Counsel.

14. Release

To the extent permitted by applicable law, Participant releases BONJIL and its authorized affiliates, agencies, representatives, production partners, photographers, videographers, and service providers from claims arising from the authorized capture, editing, publication, or use of Campaign Materials in accordance with this Agreement.

To be reviewed and expanded by BONJIL Legal Counsel.

15. Ownership

Participant retains ownership of Participant’s pre-existing original materials except to the extent otherwise agreed in writing.

Ownership of photography, video, audio, campaign artwork, advertising, and other materials commissioned or created by or on behalf of BONJIL will be determined by BONJIL’s agreements with the applicable creators and production partners.

The scope, duration, territory, exclusivity, sublicensing rights, and other intellectual property provisions applicable to BONJIL’s license to use Participant Materials and Campaign Materials shall be finalized by BONJIL Legal Counsel.

16. Privacy

Personal information collected in connection with Participant’s participation will be handled in accordance with the BONJIL Muse Search Privacy Notice and applicable law.

Participant understands that certain information authorized for public use under this Agreement, including Participant’s name, likeness, story, quotations, photographs, and other Campaign Materials, may become publicly available when published.

17. Additional Agreements

Participant understands that participation in certain BONJIL Muse activities may require execution of additional documentation, including:

  • Liability Release & Assumption of Risk
  • Prize Acceptance Documentation
  • Tax Documentation
  • Event-specific releases or waivers
  • Additional production or appearance agreements, where applicable

18. Term & Territory

The duration and geographic scope of the rights granted under this Agreement shall be determined and finalized by BONJIL Legal Counsel.

Proposed campaign need: rights sufficient for BONJIL to operate a continuing digital, social, editorial, advertising, PR, and archival campaign across BONJIL’s applicable markets and channels.

19. Governing Law

To be completed by BONJIL Legal Counsel.

20. Entire Agreement

This Agreement, together with any applicable Official Rules and additional agreements executed by Participant, represents the understanding between BONJIL and Participant regarding the matters addressed herein.

Any conflict, amendment, waiver, or priority among these documents shall be determined by the final language approved by BONJIL Legal Counsel.
